Acceptance of Terms

By accessing or using ODReference (the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (“Terms”) and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Site.

Changes to Terms

We may modify or update these Terms from time to time. Changes take effect when they are posted on the Site. Your continued use of or access to the Site after any changes are posted constitutes your acceptance of the revised Terms. You are responsible for reviewing this page periodically for updates.

Eligibility & License to Use the Site

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Site. By using the Site, you represent and warrant that you meet these requirements.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, professional, non-commercial purposes related to your own clinical practice or training. This license does not permit resale of the Site or its contents, bulk downloading, scraping, or redistribution of data or tools.

Prohibited Activities

You agree not to engage in any of the following activities:

• Using the Site for any unlawful or unauthorized purpose.
• Attempting to gain unauthorized access to the Site, its servers, or related systems.
• Interfering with or disrupting the operation of the Site or circumventing security features.
• Using automated tools, bots, scrapers, or similar mechanisms to access, query, or copy Site content without prior written permission.
• Uploading, transmitting, or distributing viruses, malware, or any malicious code.
• Engaging in any activity that could disable, overburden, or impair the Site’s infrastructure.

No Medical Services

The Site is a clinical reference for eye care professionals and does not provide individualized medical care, diagnosis, or treatment. Use of the Site does not create a doctor-patient or provider-patient relationship. You remain solely responsible for all clinical decisions and for verifying information against current standards of care, product labeling, and local regulations.

Intellectual Property

Unless otherwise indicated, the Site, including its design, text, tables, tools, graphics, logos, and other content, is owned by ODReference or its licensors and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

You may not reproduce, modify, distribute, publicly display, or create derivative works from the Site or its content without prior written permission, except as reasonably necessary for normal on-screen use in your own clinical practice or training.

Disclaimers & Limitation of Liability

The Site and all content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, secure, or free of harmful components.

To the fullest extent permitted by law, ODReference and its affiliates, owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of or inability to use the Site, even if advised of the possibility of such damages. Where liability cannot be excluded, it is limited to the amount, if any, that you paid to access the Site.

Indemnification

You agree to indemnify, defend, and hold harmless ODReference and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of another person or entity.

Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including, without limitation, Disclaimers, Limitation of Liability, and Indemnification) shall survive.

Entire Agreement

These Terms, together with our Disclaimer and Privacy Policy, form the entire agreement between you and ODReference regarding your use of the Site and supersede any prior or contemporaneous understandings or agreements. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
